1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Apice Tech Pvt. Ltd. ("Company," “we," “us," or “our”), concerning your access to and use of the Kaiziq.io website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). We are registered in India and have our registered office at 107/4, Viswadeep Tower, District Center, Janak Puri, New Delhi, 110058. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

5. MOBILE APPLICATION LICENSE

Use License:

If you access the Site via a mobile application, existing as on date or in future, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Terms of Service. You shall not: (1) except as permitted by applicable law, decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application; (2)make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the application; (4) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark)posted by us or the licensors of the application; (5) use the application for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended; (6) make the application available over a network or other environmental permitting access or use by multiple devices or users at the same time;(7) use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application; (8) use the application to send automated queries to any website or to send any unsolicited commercial e-mail; or (9) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application.

6. FEES

Some features of the Service may only be accessed and used upon the payment of applicable fees (“Fees”). Fees may vary depending on usage in accordance with our current pricing policy available in the Service or on the Site. If you do not initially register for a version of the Service that requires the payment of a fee, you will nonetheless be permitted to use all of the features of the Service for the trial period expressly stated at the time you signed up for the trial period use of the Service (“Free Trial Period”). (b) Protection and use of Confidential Information: The Receiving Party will (a) take at least reasonable measures to prevent the unauthorized disclosure or use of Confidential Information, and limit access to those employees, affiliates and contractors who need to know such information in connection with the Service; and (b) not use or disclose any Confidential Information of the Disclosing Party for any purpose outside the scope of the Service and these Terms of Service. Nothing above will prevent either party from sharing Confidential Information with financial and legal advisors; provided, however, that the advisors are bound to confidentiality obligations at least as restrictive as those in the Contract.

(c) Compelled access or disclosure: The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is required by law; provided, however, that the Receiving Party gives the Disclosing Party prior notice of the compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the access or disclosure. If the Receiving Party is compelled by law to access or disclose the Disclosing Party’s Confidential Information, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing access to such Confidential Information as well as the reasonable cost for any support provided in connection with the Disclosing Party seeking a protective order or confidential treatment for the Confidential Information to be produced.

13. LOCATION OF THE SERVICE AND YOUR USE

The Company operates or controls the operation of the Service from Servers hosted on Amazon Web Services in the availability zone for India. In addition, the Service, User Content and Your Posts may be accessed, mirrored and/or managed from various locations outside India. The Company makes no representation or warranty that all of the features of the Service, User Content or Your Posts will be available to you outside of India, or that they are permitted to be accessed outside India.

14. GOVERNING LAW

These Terms shall be governed by and defined following the laws of India. We, Apice Tech Pvt. Ltd. and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

15. DISPUTE RESOLUTION

Binding Arbitration

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by the Arbitration according to the Arbitration and Conciliation Act, 1993. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be New Delhi, India. The language of the proceedings shall be English. The governing law of the contract shall be the substantive law of India.

16. CORRECTIONS

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

DATA SECURITY PRECAUTIONS

We have in place appropriate technical and security measures to secure the information collected by us.

We use vault and tokenization services from third party service providers to protect the sensitive personal information provided by you. The third-party service providers with respect to our vault and tokenization services and our payment gateway and payment processing are compliant with the payment card industry standard (generally referred to as PCI compliant service providers). 1. Introduction

This Acceptable Use Policy ("AUP") applies to the use of any product, service or website provided by Apice Tech Pvt. Ltd. (“Company” “us”), whether we provide it directly or use another party to provide it to you (each, a "Service"). This AUP is designed to ensure compliance with the laws and regulations that apply to the Company. This AUP also protects the interests of all of our clients and their customers, as well as our goodwill and reputation. By using the Service, you are agreeing to these terms.

    • Organizations or individuals who promote, encourage, or facilitate hate speech, violence, discrimination, either through their own content or through distribution of user generated content, are prohibited from using the Service, regardless of whether the Service is used specifically for the prohibited activities. Violation of these standards may result in termination of your use of the Service.
